Over the last decades, the ideal that corporations should “maximize shareholder value” has dominated thought about corporate governance. Give an account of state of the art thought about corporate governance principles as they are formulated in textbooks. Discuss to what extent this new world of maximization of shareholder value is an American phenomenon- Use examples from other countries to highlight other traditions, values and approaches to corporate governance.

It is very important to use the term paper proposal as a starting point.
My friend has also started on it, but she will not be able to do more. I will attach the couple of pages she has already done. Use what you think is relevant, or atleaste some of it.
I also need a table of contents, a summary at the beginning and a bibliography/reference list at the conclusion of the paper.
